• Represented major Irish pharmaceutical company in a proposed €317 million reduction of share capital pursuant to section 85 of the Companies Act 2015. The application was necessitated because of a merger between it and French incorporated public company listed on the NASDAQ
• Represented the co-owner of a major hospitality group in bringing minority oppression proceedings pursuant to section 212 of the Companies Act 2014. Case resolved through a three-day mediation whereby the assets of the company, which had over 100 employees, were divided between the members
• Represented the CFO of a technology company in securing an interlocutory injunction restraining his dismissal. The High Court considered the procedural safeguards contained in the plaintiff’s contract of employment
• Represented a high net worth individual in bringing a negligence action against a major accountancy firm for an alleged inaccurate valuation of a company group. Action alleges that the said firm inaccurately calculated EBITDA and applied the wrong profit multiple to come to an inaccurate enterprise value.
• Allied Irish Banks PLC v. Stack [2018] IECA 128: represented the plaintiff bank before the High Court and Court of Appeal securing summary judgment in the sum of €2,253,590.84. This decision is a leading authority on the requirements to obtain summary judgment in Ireland
• Re Union Heritage Life Assurance 2017/422COS: objected to a proposed amalgamation of three major insurance companies on the grounds that such would unduly prejudice multiple ongoing specific performance actions. Trial judge consider the interaction between the European Communities (Life Assurance) Framework Regulations 2015 and the Insurance Act 1989.
• Drafted responses to regulatory notices issued by the Dubai Financial Services Authority, the Securities and Commodities Authority, the Financial Services Commission of the British Virgin Islands and the Securities and Futures Commission of Hong Kong.
• Coordinated multijurisdictional litigation involving the administration of a fund. Instructed external counsel in the United Arab Emirates, the United Kingdom, Hong Kong, Australia, Luxembourg, Germany and the British Virgin Islands.
